Sidley represented DCLI BidCo LLC, the direct parent of Direct ChassisLink, Inc. (“DCLI”), in connection with its high-yield Rule 144A offering of US$500 million aggregate principal amount of 7.750% Senior Secured Second Lien Notes due 2029. DCLI is the largest provider of domestic and marine container chassis by combined fleet size to the U.S. intermodal industry, operating a fleet of approximately 290,000 intermodal chassis through a network comprised of hundreds of active rental locations at or near key ports, container yards, and railroad terminals throughout the United States of America. DCLI was acquired in December 2022 by a consortium consisting of affiliates of GIC Infrastructure group, OMERS Infrastructure, and Wren House Infrastructure.
