Sidley represented Flex Ltd. (Nasdaq: FLEX), an American multinational manufacturing company domiciled in Singapore, and its Fremont, California-based solar technology subsidiary, Nextracker Inc. (Nasdaq: NXT), in its upsized US$638 million initial public offering, selling 3.34 million more shares than expected at US$24 each, which was slightly above the proposed US$21 – US$23 range. The underwriters exercised in full their option to purchase up to an additional 3.99 million shares of common stock at the IPO price, less underwriting discounts and commissions, bringing the total offering size to $734,160,000 and making it the largest IPO of the year. The IPO closed on February 13, 2023.
