Sidley is representing 7GC & Co. Holdings Inc. (NASDAQ: VII), a publicly traded special purpose acquisition company, in its pending business combination with Banzai International, Inc. (Banzai), an end-to-end video engagement platform. The estimated post-transaction enterprise value is US$380 million, with approximately US$207 million in net cash, assuming no redemptions of 7GC & Co. Holdings Inc. public shares. Banzai and Hyros Inc (Hyros) have also entered into a merger agreement, where, immediately prior to the closing of the proposed transaction between Banzai and 7GC & Co. Holdings Inc., Banzai will acquire Hyros for approximately US$110 million in a primarily stock transaction, subject to customary and negotiated adjustments.
