MICHAEL HEINZ is a partner with over 20 years of experience representing companies in a broad range of capital markets transactions, mergers and acquisitions and corporate governance matters. He serves as co-leader of the firm’s Special Purpose Acquisition Companies (SPACs) group.
Mike regularly represents issuers, underwriters and investors in all types of public and private securities transactions, including high-yield and investment grade debt securities, initial public offerings (IPOs), secondary equity offerings, tender offers and exchange offers, PIPE transactions and transactions involving special purpose acquisition companies (SPACs). Mike has a broad-based corporate practice representing clients in a number of industries, including in the healthcare/life sciences, financial services, industrials and consumer products sectors, with an emphasis on public company representation.
Mike has significant experience representing buyers and sellers in public and private mergers, acquisitions and divestitures, including representing the Chicago Stock Exchange in its sale to Intercontinental Exchange, the parent company of the New York Stock Exchange (NYSE), and Catamaran Corporation in its $13 billion sale to UnitedHealth.
In addition to his transactional work, Mike regularly advises publicly traded companies on a broad range of corporate and securities law matters, including SEC disclosure matters, Sarbanes-Oxley Act compliance, corporate governance best practices, fiduciary duties, stock exchange requirements and Rule 144 issues.
Mike was named a BTI Client Service All-Star in 2022, which comprises lawyers whom world-leading corporate counsel recognize as service leaders. Mike was also recognized as a “Rising Star” in Illinois in the 2013 through 2019 editions of Super Lawyers.
