The Key Takeaways From Last Week’s Second Annual CFIUS Conference

At the Department of the Treasury’s Second Annual Committee on Foreign Investment in the United States (CFIUS) Conference in 2023, it was made clear that CFIUS is taking a more proactive approach to mitigating national security risks in areas such as cybersecurity, supply chain security, clean energy, and dual-use technology. A recurring theme was CFIUS cultivating a “culture of compliance” and it has hired a Chief Counsel for Enforcement to ensure parties comply. Parties to a transaction can bolster their chances of a smoother CFIUS review by pausing to consider CFIUS’s perspective in the five years since Congress passed the Foreign Investment Risk Review Modernization Act (FIRRMA), risks have evolved significantly. Assistant Secretary Rosen clarified in his remarks that regulations are in need of a refresh and that there is a desire to continue to develop CFIUS by strengthening FIRRMA and increasing efficiency throughout the CFIUS process.
