Sidley’s Real Estate practice represents financial institutions (including major banks), opportunity and private equity funds, REITs and other investors, and operating businesses in connection with various types of sale-leaseback transactions. These transactions involve large portfolios of real properties located in different states, complex “propco/opco” tenant structures and securitization of the related mortgage loans.
Our practice has experience representing purchaser-landlords, seller-tenants, mortgage lenders and mezzanine lenders in these transactions. We work closely with our Tax practice lawyers and our clients’ tax and accounting advisors to structure these transactions to comply with applicable tax and accounting rules. Additionally, we team with lawyers from our Bankruptcy practice to ensure that transactions are structured and documented to protect our clients’ interests in the event of a future bankruptcy of the tenant or other party.
