Our Syndicated and Leveraged Finance practice and Real Estate Finance practice regularly include REIT financings. Sidley has represented agents, lenders, issuers and borrowers in both corporate-level and property-level secured and unsecured REIT credit facilities in a variety of asset classes, including healthcare, retail, office, industrial and hospitality. Transaction structures include conduit, mezzanine, portfolio and construction financings, as well as financings supporting IPOs, spinoffs and mergers and acquisitions.
Sidley also has substantial experience in a wide variety of other REIT securities offerings, including forward equity transactions, Rule 144A initial offerings of common stock, operating partnership units (“OPUs”), convertible preferred stock and OPUs, convertible/exchangeable debt, high yield debt, remarketed/extendible debt and warrants. This work requires not only an extensive knowledge of the Securities Act of 1933 and the related rules but also a well-developed understanding of marketplace standards and practices particular to REITs.
