Lawyers in our Global Finance group have substantial experience representing lenders, borrowers, placement agents and investors in cross border financings and securitizations. These transactions include credit card receivables, consumer loans, commercial and residential mortgage loans, sovereign royalties, public/private project user fees or trade receivables. The firm has closed hundreds of cross border transactions using various structures such as securitization, asset-based loans and vendor/supply chain receivables finance programs. We have advised on such transactions in Africa, Asia, Europe, and North and South America. Many of these transactions have been funded through commercial paper conduits, bank syndications, medium term notes and asset-backed securities.
The parties to these transactions have included a wide variety of commercial banks, investment funds, placement agents, manufacturers and distributors, including healthcare providers, pharmaceutical companies, beverage companies, food conglomerates, long distance telephone and local exchange carriers, utilities, chemical companies, building materials manufacturers (including steel and aluminum manufacturers), oil and gas companies, media relations companies, paper companies, automotive product companies, computer manufacturers, rail transportation companies, trucking companies, air transportation companies, manufacturers of marine equipment, sporting goods companies, printing product distributors, telephone software systems manufacturers and food, produce and restaurant suppliers. Our clients have included U.S. and non-U.S. entities.
Financing transactions pertaining to those areas typically involve multiple substantive legal disciplines. Our finance team therefore works closely with other Sidley lawyers who offer their experience in securities law, tax, intellectual property and bankruptcy. In addition, over the years we have developed close relationships with law firms in different countries around the world. These relationships have given us a deep understanding of applicable law in those jurisdictions and access to some of the best legal advisors in these jurisdictions. Most of our offices include lawyers with knowledge in one of more of these cross border transactions.
