We recognize insurance is a highly capital-intensive business, and therefore, an insurance company’s access to capital can be a life source of its operations. Members of the Insurance group are intimately familiar with the various corporate finance strategies available to insurance and financial services companies, and the related regulatory and financial issues. Sidley regularly represents insurance holding companies and insurers, as well as underwriters and financial advisors, in traditional public and private offerings of common stock, preferred stock and debt securities.
Together with the experience of Sidley’s Securities and Tax practices, our Insurance group has successfully advised insurance holding company, insurance company and underwriter clients in securities offerings, such as surplus notes, trust preferred securities, hybrid securities and covered bond offerings. In addition, we have been at the forefront of the development and growth of general and separate account funding agreement backed note programs, having represented either the insurer or the underwriter on every SEC registered transaction program, as well as in various global medium-term note programs, European medium-note programs and separate account backed note programs.
Sidley consistently ranks among the top capital markets firms in the Thomson Reuters league tables, both by deal value and by number of deals, with strong showings as both issuer and underwriter counsel in major security type categories, including overall debt and equity, straight debt, asset-backed securities, investment grade corporate debt and follow-on stock offerings.
