Sidley has extensive experience representing firms outside the United States. In particular, we deal with claims of secondary liability – on theories of global partnership, partnership by estoppel, agency, control person liability, alter ego, among others – on behalf of entities from the large accounting firm networks. We have obtained dismissal of numerous such cases on behalf of coordinating entities of professional services firms that are domiciled outside the United States. Such cases have included securities class actions, professional negligence suits, employment claims and disputes with former partners. Not only have we handled such matters in federal and state courts across the country, but we also have assisted firms in connection with arbitrations and other matters outside the United States. In the course of these cases, we have developed a deep understanding of how the relationships among different entities affect such issues as jurisdiction, service of process and ultimately, liability. In addition to numerous litigation matters, we also have provided structural advice and other pre-litigation counseling.
