• Represented Stonepeak in the acquisition of a minority common equity interest and a preferred equity interest in CoreSite from American Tower for US$2.5 billion.
• Represented Cologix in its acquisition of a new cloud gateway data center in Silicon Valley — a five-acre, 9 MW campus, with room to expand by a further 10 MW.
• Represented an international real estate fund manager in a bid to acquire a portfolio of core powered shell data centers in the U.S.
• Represented an international infrastructure fund in the potential development of fiber to the home networks in the U.S.
• Represented a telecom company in its debt and equity restructuring in bankruptcy.
• Represented Partners Group in its investment in Seabras-1, the first direct subsea fiber optic telecommunications cable between New York and São Paulo, which was recognized as the “Best Deal of 2015” by Global Trade Review and the “Greenfield Deal of the Year” by International Finance Magazine and World Finance, and also won the “2016 LatinFinance Project Infrastructure & Finance Award.”
• Represented a fiber optic provider in its exclusive revenue sharing arrangement with a publicly traded, edge services platform provider.

Transportation

• Represented Norfolk Southern Railway Company in connection with an agreement with the City of Cincinnati to acquire substantially all of the assets of the Cincinnati Southern Railway, which owns a 337-mile rail line between Cincinnati, Ohio and Chattanooga, Tennessee, for approximately US$1.62 billion.
• Represented United Airlines in lease transactions related to certain takeoff and landing slots in John F. Kennedy International Airport and Newark Liberty International Airport.
• Represented an international airline in pledging certain takeoff and landing slots in a U.S. airport, in connection with a financing transaction.
• Represented a state-owned development company in the development of a railway in Mongolia.

Midstream Oil & Gas

• Represented Stonepeak Infrastructure Partners and Oryx Midstream Holdings LLC, a portfolio company of Stonepeak Infrastructure Partners, in a joint venture with Plains All American (Nasdaq: PAA and PAGP) of their respective Permian Basin assets, operations, and commercial activities.
• Represented Stonepeak Infrastructure Partners in its US$3.6 billion acquisition of substantially all of the assets of Oryx Midstream Services from affiliates of Quantum Energy Partners, Post Oak Energy Capital, Concho Resources, WPX Energy, and other investors.
• Represented Stonepeak Infrastructure Partners in its sale of Paradigm Energy Partners’ oil and natural gas gathering systems to Ares EIF.
• Represented I Squared Capital in its US$460 million convertible equity investment in Venture Global LNG.
• Represented American Midstream Partners, LP in its acquisition of a 25% interest in Enterprise Product Partners L.P.’s Pascagoula natural gas processing plant.
• Represented Oryx Midstream Services LLC, a portfolio company of Stonepeak Infrastructure Partners, in its acquisition of the Outrigger Crude Oil Gathering System in the Permian Basin from a subsidiary of Targa Resources Corp., for a purchase price of US$135 million.
• Represented GSO Capital Partners LP in its midstream portfolio company’s joint venture with an anchor shipper for the development and operation of a gathering and processing system serving the Northern Delaware Basin in Lea and Eddy Counties, New Mexico.
• Represented Anadarko Petroleum Corp., in connection with its US$440 million disposition of natural gas properties and gathering and processing assets in East Texas to Legacy Reserves LP.
• Represented Highstar Capital in its acquisition of a 50% interest in Wildcat Midstream Holdings, the operator of a crude oil gathering and storage system in West Texas.
• Represented EIV Capital in its capital commitment in Woodland Midstream II, a portfolio company pursuing natural gas gathering and processing opportunities.
• Represented Macquarie Infrastructure and Real Assets Inc. in its sale of 100% of the membership interests of Leaf River Energy Center LLC, a salt dome natural gas storage facility in Mississippi, to a subsidiary of New Jersey Resources Corporation for US$367.5 million.
• Represented Third Coast Midstream in its sale of its Cushing, Oklahoma crude oil storage business, AMID Crude Oil Storage to HCS Holdings, LLC, an affiliate of Hartree Partners, LP.
• Represented American Midstream Partners, LP in the sale of its refined products storage terminals in Caddo Mills, Texas and North Little Rock, Arkansas to Sunoco LP for approximately US$125 million.
• Represented American Midstream Partners, LP in the sale of three bulk product storage terminals in the Port of New Orleans, Louisiana and the Port of Brunswick, Georgia to an institutional investor advised by J.P. Morgan Asset Management for approximately US$210 million.
• Represented Summit Terminaling in negotiating an equity commitment from EIV Capital for the acquisition, development, and operation of bulk liquids storage terminals in the United States.
• Represented a private equity fund in its consideration of a proposed acquisition of an equity stake in a petroleum storage terminal on the Houston Ship Channel, with a storage capacity of approximately 6.5 million barrels.

Alternative Energy

• Represented Marubeni Corporation in multiple investments in Fulcrum BioEnergy, Inc., a developer of municipal solid waste to low-carbon jet fuel projects.
• Represented an international infrastructure fund in a potential equity commitment in a developer of carbon capture and sequestration (CCS) projects.
• Represented an international infrastructure fund in a potential acquisition of a portfolio of renewable natural gas (RNG) projects.
• Represented MAP Royalty, Inc. in connection with the sale of various wind and solar projects.

Upstream Oil & Gas

• Represented Trace Capital Management (formerly Denham Capital Management) in its equity commitment in Castlerock Exploration.
• Represented EPL Oil & Gas, Inc. in a US$2.3 billion acquisition of EPL by Energy XXI (Bermuda) Limited.
• Represented Macquarie Infrastructure and Real Assets in its strategic joint venture with California Resources Corporation for the development of oil and gas properties in the San Joaquin Basin in California.
• Represented Benefit Street Partners, in connection with its US$175 million joint exploration and development agreement with Rex Energy Corporation in respect of wells in the Appalachian Basin.
• Represented Anadarko Petroleum Corp., in connection with its exchange of acreage with Noble Energy in Colorado’s Wattenberg Field.
• Represented Denham Capital Management LP in its take-private acquisition of Platino Energy Corp., an Alberta-based exploration and production company with operations in Colombia.
• Represented a publicly traded (NYSE MKT) oil and gas company, in connection with its acquisition of offshore Nigeria oil and gas assets valued at over US$700 million, and the associated US$270 million private placement financing on the Johannesburg Stock Exchange.
• Represented Layline Petroleum, LLC, in connection with the US$375 million sale of substantially all of its assets to Wapiti Energy Holdings, LLC and the associated wind-up of Layline Petroleum. The majority of Layline Petroleum’s assets consisted of operated oilfields with long-lived reserves located in Texas.
• Represented Denham Capital in a US$100 million equity commitment by Natural Gas Partners to MS Energy Services, a directional drilling company that is majority-owned by Denham.
• Represented an oilfield services company in the sale of its company to a leading oilfield services company with operations in the Permian Basin.

Power Generation

• Represented Conduit Power, LLC in the execution of definitive agreements to expand the scope of its joint venture, RPC Power, LLC, with Riley Exploration Permian, Inc. to build new power generation and storage assets for the sale of energy and ancillary services to ERCOT, the Texas power grid operator.
• Represented a purchaser in its acquisition of a power generation facility in ERCOT.
• Represented Stonepeak Infrastructure Partners in its acquisition of the Canal 1 and 2 power facility from GenOn and the Canal 3 in-development power facility from NRG.
• Represented Partners Group in its acquisition of a 25% stake in Sentinel Energy Center, an 800-megawatt natural gas-powered electric generation facility.
• Represented Dynegy Inc. in the sale out of bankruptcy of the Roseton fuel oil and natural gas electric generation facilities to a subsidiary of Castleton Commodities International LLC and the Danskammer fuel oil, natural gas, and coal electric generation facilities to Helios Power Capital LLC, which facilities have an aggregate 1,701 megawatts of generating capacity.

• Represented MIP VI Holdings II, LLC, an affiliate of Macquarie Asset Management in its acquisition of Coastal Waste & Recycling, Inc., one of the largest independent vertically integrated solid waste and recycling businesses in the Southeast.
• Represented SAS Capital and its principal, Susie A. Smith, in connection with the sale of their one-third interest in KSA Industries, Inc., the indirect owner of the Tennessee Titans NFL franchise, and other related entities.
• Represented FullCycle Climate Partners in its preferred equity investment in Sustainitech, a controlled environment agriculture company based in Toronto, Canada.
