John David Thompson

JOHN DAVID THOMPSON focuses his practice on mergers and acquisitions, tax equity, private equity, joint ventures, and project finance in a wide range of energy renewable and energy transition transactions. John David represents sponsors, private equity, tax equity investors, lenders and financial institutions, and other key participants in connection with financing and equity arrangements at all stages of a project’s life-cycle.

Prior to joining Sidley, John David worked at another global law firm. He received his J.D. from Emory University School of Law and his B.A. from The University of Alabama.

M&A and Structured Equity

• A consortium, headed by APG Asset Management N.V. (APG), on behalf of the largest Dutch pension fund, ABP, and Australian Retirement Trust (ART), in the acquisition of Riverstone Holdings’ equity stake in Pattern Energy Group LP (pending).
• Ørsted in its divestment of a 50% equity stake in three U.S. onshore projects to Energy Capital Partners for US$572 million.
• Calibrant Energy, a Macquarie Asset Management portfolio company, in their acquisition of a 100% interest in Enel X Storage, LLC.

Tax Equity Investments

• RBC Community Investments on behalf of a tax equity syndicate making an over US$500 million tax equity investment in rPlus’s Green River Energy Center project, a 400 MWac solar photovoltaic facility and 400 MW/1,600 MWh battery energy storage facility located in Emery County, Utah.
• RBC Community Investments in the PTC tax equity financing of the 80MW Lockhart I solar project, the 80MW Lockhart II solar project, and the 45 MW 4 hour Lockhart II energy storage project developed by Terra-Gen.
• RBC Community Investments in the PTC tax equity financing of the 240MW Appaloosa Solar I project developed by Greenbacker Capital.
• RBC Community Investments in the ITC tax equity financing of the 185MW/565Mwh Kapolei Energy Storage project developed by Plus Power.
• RBC Community Investments in the ITC tax equity financing of the 80MW Sagebrush A standalone energy storage project developed by Terra-Gen.
• RBC Community Investments in the ITC tax equity financing of the 100MW Blake solar project and 160MW Elizabeth solar project developed by Opdenergy.
• RBC Community Investments in the ITC tax equity financing of the 200MW Calhoun Solar Energy Center developed by Invenergy.
• RBC Community Investments in syndicating ITC transfer sales with Terra-Gen and Invenergy.
  Project Development and Finance
• DE Shaw Renewable Investments in the acquisition, development, tax equity and project financing of the Highlands solar project.
• Fifth Third Bank in a debt facility for solar assets being developed by Amp Solar.
