Biography

SCOTT PAREL is the co-managing partner of the Dallas office and a co-leader of the firm’s Private Equity practice. Scott handles complex corporate and transactional matters for clients in the healthcare, technology, manufacturing, energy, infrastructure, and professional services industries.

He has significant experience advising both domestic and international private and pension fund sponsors as well as corporate clients in connection with leveraged acquisitions, minority investments, divestitures, joint ventures, and restructurings.

Scott has earned acknowledgement for his practice by industry publications, including:

  • Access Healthcare (investment from New Mountain Capital, LLC.). Representing Access Healthcare, a leading revenue cycle management technology platform, in its growth investment from affiliates of New Mountain Capital, LLC.
  • Eagle Materials Inc. (acquisition of Bullskin Stone & Lime, LLC). Represented Eagle Materials Inc., a leading manufacturer of construction products and building materials, in its acquisition of aggregates business Bullskin Stone & Lime, LLC.
  • Ebix, Inc. (sale of North American Life and Annuity assets). Represented Ebix, Inc., a global software and technology company, and certain of its affiliates in their Chapter 11 cases in the U.S. Bankruptcy Court for the Northern District of Texas, through a successful asset sale and sponsored plan of reorganization.
  • MarketTime, LLC (majority investment by Hudson Hill Capital). Represented MarketTime in its majority investment by private investment firm Hudson Hill Capital.
  • Discovery Education (acquisition of DreamBox Learning). Represented Discovery Education, a global education technology company backed by Clearlake Capital Group, L.P., in its acquisition of DreamBox Learning, a PK-12 education technology provider.
  • OMERS Private Equity (sale of Forefront). Represented OMERS Private Equity in its sale of Forefront Dermatology to global private markets firm Partners Group.
  • Proven Brands (sale to Hain Celestial Group, Inc.). Represented Proven Brands, a portfolio company of Clearlake Capital Group, L.P.’s Better For You Holdings food platform, in its sale for approximately US$259 million to Hain Celestial Group, Inc., an organic and natural products company with operations in North America, Europe, Asia, and the Middle East.
  • OMERS Private Equity (partnership with Gastro Health). Represented OMERS Private Equity in its partnership with Gastro Health, a national, leading U.S. platform supporting medical groups specializing in the treatment of gastrointestinal disorders, nutrition, and digestive health.
  • Precisely (acquisition of Winshuttle). Represented Precisely, a portfolio company of Clearlake Capital Group and TA Associates, in its acquisition of Winshuttle, a portfolio company of Symphony Technology Group.
  • Clearlake Capital Group, L.P. (investment in BeyondTrust). Represented Clearlake Capital Group, L.P. in a significant strategic investment in BeyondTrust, a leading provider of Privileged Access Management software solutions.
  • Precisely (acquisition of Infogix, Inc.). Represented Precisely, a portfolio company of Clearlake Capital Group, L.P. and TA Associates, in its joint-acquisition of Infogix, Inc., a multinational data controls and analytics software company.
  • Clearlake Capital Group, L.P. (acquisition of Precisely). Represented Clearlake Capital Group, L.P. in its acquisition of Precisely, a global leader in data integrity that provides accuracy, consistency and context in data for 12,000 customers in more than 100 countries, together with TA Associates.
  • Clearlake Capital Group, L.P. (acquisition of InvestCloud). Represented Clearlake Capital Group, L.P. in its joint partnership with Motive Partners in acquiring InvestCloud and simultaneously combining InvestCloud with existing Motive portfolio companies, Finantix and Tegra118, to create a global Software-as-a-Service (SaaS) wealth solutions financial technology provider.
  • Eagle Materials Inc. (sale of Western Aggregates and Mathews Readymix). Represented Eagle Materials Inc. in the sale of its Western Aggregates and Mathews Readymix operations for US$93.5 million to Teichert, a California-based construction company.
  • OMERS Private Equity (acquisition of Community Vet Partners). Represented OMERS Private Equity in its acquisition of Community Vet Partners, an owner and operator of veterinary hospitals in the U.S., from Cortec Group.
  • HMS Holdings Corp. (acquisition of the Accent payment accuracy business). Represented HMS Holdings Corp. in its acquisition of the Accent payment accuracy and cost containment business from Intrado Corporation.
  • OMERS Private Equity (disposition of investment in National Veterinary Associates). Represented OMERS Private Equity in the disposition of its investment in National Veterinary Associates, a portfolio company of Ares Management, to an affiliate of JAB Holdings.
  • TPG Capital LP (acquisition of a non-controlling stake in Kelsey-Seybold). Represented TPG Capital LP in the acquisition of a non-controlling stake in Kelsey-Seybold Management Services, the management services organization serving Kelsey-Seybold Medical Group, a multispecialty group practice.
  • OMERS Private Equity (sale of MatrixCare). Represented OMERS Private Equity in its sale of MatrixCare Holdings Inc. to ResMed Operations Inc.
  • Public Sector Pension Investment Board (investment in United Talent Agency). Represented PSP Investments in its investment in United Talent Agency.
  • Alberta Investment Management Corporation (additional investment in Puget Sound Energy). Represented AIMCo in its acquisition of an additional stake in the holding company of Puget Sound Energy from Macquarie Infrastructure and Real Assets.

Advised Lindsay Goldberg in the sale of Ambulatory Services of America, the owner, operator and manager of healthcare facilities that provide radiation oncology and dialysis services, to U.S. Renal Care, a provider of dialysis services for people living with chronic and acute renal diseases.
  • United States Infrastructure Corporation (sale to Leonard Green & Partners, L.P.). Represented United States Infrastructure Corporation (a portfolio company of OMERS Private Equity), a provider of locating and marking services for underground utilities, in its sale to Leonard Green & Partners, L.P.
  • ONCAP Management Partners L.P.; BSN SPORTS Inc. (sale of BSN SPORTS Inc.). Represented BSN SPORTS Inc., a direct marketer and distributor of sporting-goods equipment and team sports uniforms, and its sponsor, Canada-based ONCAP Management Partners L.P., in the sale of BSN to Herff Jones, Inc., a manufacturer, marketer and distributor of graduation-related materials and educational products.
  • Bluegrass Materials Company, LLC (acquisition of Lafarge Facilities). Represented Bluegrass Materials Company, LLC (a portfolio company of Lindsay Goldberg LLC), an aggregates and concrete block producer, in its acquisition of four aggregates quarries in the Atlanta Metro Area from Lafarge North America.
  • Top-Co Holdings Inc.; Top-Co Cementing Products Inc. (acquisition of CaseTech International, Inc.). Represented Canada-based Top-Co Holdings (a portfolio company of Avista Capital Partners) and its subsidiary, Top-Co Cementing Products, which designs and manufactures specialized casing cementing products used in the drilling and completion of oil, natural gas and geothermal wells, in the acquisition of CaseTech International, a Texas-based company that manufactures and distributes casing cementing products and body casing centralizing tools for use primarily in the oilfield industry.
  • Avista Capital Partners (acquisition of Top-Co Inc.). Represented Avista Capital Partners in its acquisition of Top-Co, a designer and manufacturer of specialized casing cementing products used in the drilling and completion of oil, natural gas and geothermal wells.
  • OMERS Private Equity Inc. (acquisition of Great Expressions Dental Company). Represented OMERS Private Equity in its acquisition of GEDC Super Holdings (Great Expressions Dental Company), provider of dental care services in the United States with 151 locations in Florida, Georgia, Michigan and Ohio, from Audax Private Equity.
  • DLJ Merchant Banking Partners; Total Safety U.S., Inc. (sale of Total Safety). Represented DLJ Merchant Banking Partners and its portfolio company, Total Safety U.S., a distributor and marketer of industrial fire protection and gas detection systems, in the sale of Total Safety to private equity firm Warburg Pincus.
  • United States Infrastructure Corporation (acquisition of Consolidated Utility Services). Counsel to United States Infrastructure Corporation (USIC) (an OMERS Private Equity portfolio company), a provider of locating and marking services for underground utilities, in its acquisition of sub-surface utility locating services provider Consolidated Utility Services, significantly expanding USIC’s geographic span of operations, from funds affiliated with Tricor Pacific Capital.
  • OMERS Private Equity Inc. (acquisition of Accelerated Rehabilitation Centers). Represented OMERS Private Equity in its acquisition of Accelerated Rehabilitation Centers, a chain of 180 physical therapy centers in six Midwest and Southern U.S. states, from Gryphon Partners III.
  • Avista Capital Partners (acquisition of INC Research). Counsel to Avista Capital Partners in its acquisition, with Ontario Teachers’ Pension Plan, of INC Research, a privately held, global contract research organization with special expertise in managing late stage clinical development programs, from an investor group led by Crosspoint Venture Partners and Adams Street Partners.
  • Lindsay Goldberg LLC (Bluegrass Materials Company’s acquisition of CEMEX Facilities). Counsel to Lindsay Goldberg, majority owner of Bluegrass Materials Company, LLC, an aggregates and construction materials business and subsidiary of Panadero Aggregates Holdings, LLC, in the purchase of seven aggregates quarries, three resale aggregates distribution centers and one concrete block manufacturing facility in Kentucky from Mexico-based CEMEX S.A.B. de C.V.
  • OMERS Private Equity Inc. (acquisition of United States Infrastructure Corporation). Represented OMERS Private Equity in its acquisition of United States Infrastructure Corporation, provider of locating and marking services for underground utilities, from Kohlberg & Company.
  • Falconhead Capital, LLC (combination of GPS Industries and ProLink Systems). Represented private equity firm Falconhead Capital in the combination of GPS golf course communications equipment providers GPS Industries, Inc. and ProLink Systems, Inc. and related financings.
  • OMERS Private Equity Inc. (acquisition of Nordco Inc.). Represented OMERS Private Equity in its acquisition of railroad track and maintenance equipment manufacturer Nordco Inc. from affiliates of The Riverside Company.
  • Falconhead Capital, LLC (Minority Investment in Javo Beverage Company, Inc.). Represented Falconhead Capital in a debt and minority equity investment in Javo Beverage Company, Inc.
  • Lindsay Goldberg (Minority Investment in Ambulatory Services of America). Advised Lindsay Goldberg in its minority investment in Ambulatory Services of America, provider of non-physician services including dialysis and radiation therapy.
