Biography

WEIRU FANG focuses her practice on bankruptcy and restructuring matters. She has represented public and private companies, creditors, and asset purchasers in large and complex distressed situations.

Her experience includes advising clients in both in-court and out-of-court restructurings across a broad range of industries, including telecommunications, retail, pharmaceutical, technology, and real estate.

Weiru received her J.D., cum laude, from Cornell Law School where she served as notes editor for the Cornell Law Review. She received her B.A. from the University of California, Berkeley.

Prior to joining the firm, Weiru was an associate at another international law firm.

Debtor/Company-Side Experience

  • Merit Street Media, Inc., a Texas-based television and digital media company, in its Chapter 11 filing in the United States Bankruptcy Court for the Northern District of Texas, and in the successful negotiation of US$21.4 million in debtor-in-possession financing.
  • Plenty Unlimited Inc., an innovative agricultural technology company, and certain affiliates in their Chapter 11 cases in the U.S. Bankruptcy Court for the Southern District of Texas.
  • Jervois Global Limited, an Australia-headquartered global supplier of advanced manufactured cobalt products, and certain affiliates in their prepackaged Chapter 11 cases in the U.S. Bankruptcy Court for the Southern District of Texas.
  • California-headquartered Velo3D, Inc. (OTCQX: VLDX), a leader in scalable metal 3D printing technology, in connection with a debt for equity exchange transaction with Arrayed Notes Acquisition Corp.
  • Ebix, Inc., a global software and technology company, and certain of its affiliates in their Chapter 11 cases in the U.S. Bankruptcy Court for the Northern District of Texas, to address approximately US$700 million in funded debt obligations, through a successful asset sale and sponsored plan of reorganization.
  • AppHarvest, Inc. and its subsidiaries in their Chapter 11 cases in the U.S. Bankruptcy Court for the Southern District of Texas.
  • Enjoy Technology, Inc., a mobile retail business, in connection with its sale and Chapter 11 liquidation cases filed in the U.S. Bankruptcy Court for the District of Delaware. 
  • NS8, Inc., a cyber-fraud security startup, in connection with its sale and Chapter 11 liquidation case filed in the U.S. Bankruptcy Court for the District of Delaware.
  • NPC International, Inc., a major franchisee of certain fast food restaurants in the United States, in connection with its US$801 million sale and Chapter 11 reorganization in the U.S. Bankruptcy Court for the Southern District of Texas. 
  • J.Crew Group, Inc., one of the nation’s premier clothing retailers, in its restructuring efforts involving approximately US$2 billion in funded debt and pre-arranged Chapter 11 reorganization filed in the U.S. Bankruptcy Court for the Eastern District of Virginia. 
  • Fusion Connect, Inc., a leading provider of telecommunication, in effectuating its prearranged restructuring of US$800 million of indebtedness in the U.S. Bankruptcy Court for the Southern District of New York.
  • Waypoint Leasing Holdings, Ltd. and its 142 affiliated debtors, one of the largest helicopter-leasing companies in the world, in four complex sale transactions and Chapter 11 plan of liquidation filed in the U.S. Bankruptcy Court for the Southern District of New York. 

Creditor/Other Party Experience

  • Stonepeak Infrastructure Partners as DIP financing lender and ultimate owner in connection with the Chapter 11 cases of Akumin, Inc. in the U.S. Bankruptcy Court for the Southern District of Texas.
  • DIP financing lender and successful purchaser in the Chapter 11 bankruptcy of Winc, Inc., a direct-to-consumer beverage company.
  • Official Committee of Unsecured Creditors in the Chapter 11 bankruptcy of Mallinckrodt plc.
  • Official Committee of Unsecured Creditors in the Chapter 11 bankruptcy of Easterday Ranches, Inc.
  • Successful purchaser of real estate assets in Wardman Hotel Owner LLC.
