Sidley represented managed funds associated with the Hybrid Value franchise of Apollo Global Management, Inc. (“Apollo Funds”) in their minority equity investment in AUTODOC SE (“AUTODOC”), Europe’s largest and fastest growing auto parts e-commerce platform with 26% 5-year revenue CAGR, more than €1.3 billion in net revenue and €130 million adjusted EBITDA in 2023.
Apollo Funds acquired the minority stake alongside leading institutional investors at an equity valuation of €2.3 billion. As part of the transaction, two Apollo representatives will also join the company’s supervisory board.
The investment marks the first time AUTODOC has raised third-party equity capital. Apollo’s Hybrid Value business has a strong track record of long-term value creation and helping businesses unlock their full potential through non-control structured equity investments, including pre-IPO capital and solutions to support growth.
The Sidley team is led by partners Ramy Wahbeh and Kaisa Kuusk, counsel Florian Kamp, managing associate Ying Liu, and associate Camilla Tagliabue (M&A and Private Equity). The broader cross-office and cross-practice team included Volker Kullmann, Björn Holland, Marcus Klie, Armin Mustafić, Ghadah Alotaibi, Filippo P. Durazzo, Julius Koblitzek, Ufuk Erdal Genc, Tobias Bachmeier, and Mario Hirsch (M&A and Private Equity); Roderic Pagel, Jason Menzies, Corinna Linhardt, and Ellie Verran (Tax); Sven De Knop and Alessandra Moroni (Global Arbitration, Trade and Advocacy), Markus Feil and Christian Axhausen (Global Finance), and Issouf Sako (Restructuring).
