- Rio Grande LNG – Represented GIC in connection with its commitment to NextDecade Corporation’s (NextDecade) (NASDAQ: NEXT) Phase 1, US$18.4 billion LNG project. Phase 1 will construct the first of three liquefaction trains at NextDecade’s 27 million tonnes per annum Rio Grande LNG (RGLNG) facility in Brownsville, Texas.
This US$18.4 billion RGLNG project financing is the largest greenfield energy project financing in U.S. history. GIC is a global investment firm that manages Singapore’s reserves. NextDecade is an energy company focused on more sustainable LNG and carbon capture solutions.

- Freeport LNG – Representing JERA Americas Inc. in the US$2.5 billion purchase of a 25.7% equity ownership interest from Global Infrastructure Partners in Freeport LNG Development, L.P., which owns and operates a liquefied natural gas (LNG) export facility on Quintana Island, near Freeport, TX, including three LNG liquefaction trains in commercial operation annually producing ~15.5mtpa pre-bottlenecking and also a fourth liquefaction train in development.
Sidley also represented JERA Americas Inc. in the sale of a 15% membership interest in Gulf Coast LNG Holdings LLC to JAPEX (U.S.) Corp. Gulf Coast LNG Holdings LLC holds interests in Freeport LNG.
- GTA LNG – Representation of the Government of Senegal in connection with the GTA FLNG project.
- Mozambique LNG – Representation of Anadarko as one of the two primary sponsors of a large planned East African LNG development in connection with the onshore shared facilities that will be jointly used by Anadarko’s Block 4 and Eni/ExxonMobil’s Block 1 and various equity matters.
- Cameron LNG – Represented Sempra in the development and financing of the $10 billion Cameron LNG facility in Cameron, Louisiana. Also, representing Cameron LNG in the development and construction of two additional LNG liquefaction trains to be located adjacent to the original Cameron LNG project.
- Annova LNG – The primary sponsors of the Annova LNG project in South Texas, including tolling agreements, financing, EPC agreement, joint venture arrangement and regulatory and real estate aspects of the project.
- Freeport LNG – Representing an offtaker at Freeport LNG (liquefaction) regarding its tolling capacity in Train 1, including tug financing and service agreements and operation and cooperation agreement.
- Grand Isle LNG – Representing Grand Isle LNG in the buying and selling of LNG for delivery into China. This work includes Master SPA work, structuring and funding of the current LNG project, as well as M&A commercial issues. Separately, Grand Isle LNG is planning to develop an offshore LNG project.
- EG LNG – Representation of Equatorial Guinea LNG Holdings in a unique project to change a one-train, one-offtaker LNG project into a multi-supplier, multi-offtaker project that works partially on a merchant and partially on a tolling basis. Also, representation of the primary project sponsor in the initial project development, including host government investment agreement, shareholders arrangements and EPC.
- Calcasieu Pass LNG and Plaquemines LNG – Representation of I Squared Capital, through its ISQ Global Infrastructure Fund II, in its US$460 million investment in convertible equity securities in Venture Global LNG, as part of a US$675 million equity capital raise announced by Venture Global LNG on June 27, 2019, to contribute to the development of the company’s cost-efficient LNG export facilities on the Gulf Coast of the U.S.
- Tanzania LNG – A lead sponsor in the Tanzania LNG project.
- Tannguh LNG – The primary sponsor in the structuring, drafting and negotiation of joint venture arrangements and marketing and host government arrangements for the Tannguh LNG project in Indonesia.
- Jacksonville LNG – Representation of a potential investor in a small-scale LNG project.
- Peru LNG – Represented the primary sponsor and the project company in connection with the development and financing, with the IFC and IDB, of the Peru LNG project, as well as related upstream development, gas transportation and joint venture agreement issues.
- U.S. Northeast – Represented the primary sponsor in connection with the development and construction of two small-scale LNG projects in the Northeast region of the United States.
- Donggi Senoro LNG – Medco Energi International in connection with a US$260 million reserves-based loan to fund production costs in the Senoro gas field, Central Sulawesi, Indonesia. The upstream facility is the primary gas supply to the US$2.8 billion Donggi Senoro LNG plant in which the client is a major shareholder. This deal won the “Asia-Pacific Oil & Gas Deal of the Year” award from IJGlobal Awards 2015.
- Yemen LNG – An international consortium on development and financing of Yemen LNG, including all LNG supply arrangements.
- Bontang LNG – Advised VICO in connection with LNG sales and purchase agreement matters related to the Bontang LNG project and advised on several ongoing contractual issues.
- Australia-Pacific LNG – Assistance with project structuring and a heads of agreement for a coalbed methane-based LNG project in Queensland, Australia, as well as various post-construction issues.
- An international energy company in connection with FEED agreements and structuring and discussions of a project framework agreement for a floating LNG project offshore Brazil.
- A supermajor in connection with a Development Agreement for the extraction of Alaskan North Slope gas and the construction of a pipeline and LNG facilities.
- Another supermajor in connection with the development of a pipeline and LNG facility regarding Alaskan North Slope natural gas.
- An international energy company in the negotiation and execution of an EPC agreement for a proposed liquefaction facility in Venezuela.
- A major energy company in the development and construction of an LNG peak-shaving project in Providence, Rhode Island.
