Some examples of the transactions and litigation matters that we have handled for Canadian clients include the following:
- For many years, we have represented Magna International and MI Developments, and their affiliates, as U.S. counsel in numerous acquisitions of public and private companies (including Magna’s bid to acquire Chrysler), in many public and private debt and equity offerings, in several subsidiary spinoffs and “take private” transactions and in connection with the Chapter 11 reorganization proceedings of Magna Entertainment and its subsidiaries.
- We represented SMART Technologies Inc. in its cross-border IPO and related matters.
- We have represented Brookfield Asset Management in a number of acquisition transactions.
- For many years, we represented Canadian Pacific Limited as U.S. counsel, including representing it in the 2001 spinoff of its operating subsidiaries.
- For many years, we have advised Canadian Pacific Railway and its subsidiaries in connection with a wide variety of U.S. corporate matters. We represented CPR in its recent acquisition of DM&E Railroad in the U.S.
- For many years, we have represented Fording Coal on U.S. matters. We represented Fording on the U.S. aspects of its hostile takeover defense and the formation of Fording Canadian Coal Trust.
- We have represented three of the largest Canadian pension funds in connection with various U.S. investments, including power generating assets, oil exploration, infrastructure and real estate.
- We have represented Bombardier Inc. and its subsidiaries as U.S. counsel in acquisitions, divestitures, financings, securities offerings, securitizations, aircraft and equipment lease financings, commercial contract matters, joint ventures and other transactions.
- We represented Ontario Teachers Pension Plan and a U.S. infrastructure fund in their joint purchase of ten power generation plants in six countries and continue to represent OTPP as an owner.
- We have represented Bank of America Merrill Lynch, Morgan Stanley and other U.S. and Canadian underwriters and dealers in connection with MJDS and Rule 144A offerings in the U.S. for Canadian issuers such as Agrium, Barrick Gold, Canadian Occidental Petroleum, Norbord, Kinross, Placer Dome and others.
- We have represented SNC-Lavalin and its subsidiaries in expanding their activities in the U.S., including acquiring assets and investing in energy and infrastructure projects.
- We have represented Canadian companies in a variety of industries, including biotech and natural resources, in accessing U.S. capital markets.
- We have also represented many Canadian clients in litigation and other proceedings in the U.S., ranging from commercial disputes to patent disputes to bankruptcy proceedings to securities class actions. We offer our clients extensive litigation experience in regulatory, trial, appellate and bankruptcy proceedings in the U.S. involving virtually every area of substantive law.
- We successfully represented the Government of Canada in the U.S. Court of International Trade and in the U.S. Court of Appeal for the Federal Circuit in obtaining the final victory for Canada in the courts before the U.S. and Canada agreed to a settlement of the softwood lumber dispute. We have also advised the Government of Canada in proceedings before the World Trade Organization.
- We also represent DBRS, the Canadian credit rating agency, principally in connection with its ratings of structured products.
