SARA SHOUSE practices in the Investment Funds group in the firm’s New York office. Her buy-side derivatives practice involves both a regulatory and transactional component, which provides clients with a comprehensive approach to derivatives trading advice. Her clients include hedge funds, private equity funds, asset managers and sovereign entities. Sara advises clients at all stages of maturity, from the initial fund launch to advising long-established multi-billion dollar asset managers.
Sara has helped guide clients through the structuring of bespoke complex derivatives transactions and the negotiation of the related trading documentation. The breadth of Sara’s practice enables her to create unique, tailored solutions for her clients, while leveraging a broad market knowledge to efficiently and effectively negotiate commercial terms. She has experience negotiating a variety of trading documentation including ISDA master agreements and related master confirmations, prime brokerage agreements, netting agreements, lock-up arrangements, futures agreements, repurchase agreements, securities lending agreements, and swap documentation for CDS, loan and equity total return swaps, and FX and commodity derivatives.
Sara’s derivatives practice also involves providing ongoing regulatory advice with respect to the Dodd-Frank Act and advice relating to collateral segregation and clearing requirements. She works closely with colleagues with knowledge on the regulation of financial products under EMIR, MiFID II and SFTR and with colleagues in related practice groups such as Employee Benefits, Tax and Securities Enforcement and Regulatory.
