Biography

ALLISON SATYR is a co-leader of the firm's Private Credit and Syndicated Finance practice. Allison counsels banks, direct lenders, funds, and businesses with respect to a diverse range of finance matters and transactions. She frequently represents agents, arrangers, lenders, participants, borrowers, and private equity sponsors in structuring and negotiating financings, including multicurrency and cross-border transactions, across different markets and numerous industries. Her experience ranges from working capital, acquisition and dividend recap financings, to work-outs, restructurings, and debtor-in-possession and exit financings. 

As an extension of her transactional practice, Allison frequently presents to clients, fellow attorneys, and law students on a variety of commercial lending topics, including market trends, bankruptcy basics, the Uniform Commercial Code, and secured transactions generally. 

Allison has been elected as a Fellow of the American College of Commercial Finance Lawyers. In addition, she has been recognized by Chambers USA in the area of Illinois Banking & Finance since 2011.

Representative Matters

Representative transactions include:

  • Representation of agent and lead arranger in connection with a $850 million multicurrency ABL credit facility in favor of a major home retailer and its Canadian subsidiaries.  
  • Representation of agent and lead arranger in connection with a $400 million multicurrency ABL credit facility in favor of a manufacturer and distributor of connectivity and networking products and its Canadian, Dutch, German, and UK subsidiaries.  
  • Representation of agent and lead arranger in connection with a $30 million ABL credit facility in favor of an airline internet service provider, subject to a crossing-liens intercreditor agreement with senior secured bonds.
  • Representation of agent and lead arranger in connection with a $3.5 billion senior unsecured multicurrency revolving credit facility in favor of a major pharmacy retailer.
  • Representation of agent and lead arranger in connection with a $583 million senior unsecured amend-and-extend revolving credit facility, a $317 million 364-day senior second lien revolving credit facility and a $362.5 million senior first lien secured term loan facility in favor of an oil and gas field services company involving credit support from affiliates in 13 countries. 
  • Representation of agent and lead arranger in connection with a $2 billion revolving credit facility and a $900 million term loan facility in favor of a REIT. 
  • Representation of agent and lead arranger in connection with a $500 million senior term loan acquisition financing in favor of an electrical products company, and a $750 million senior revolving multicurrency credit facility in favor of the company and its Luxembourg subsidiaries. 
  • Representation of agent and lead arranger in connection with a $180 million senior secured acquisition financing in favor of an Indian-based pharmaceutical company. 
  • Representation of agent and lead arranger in connection with a $60 million senior secured sponsor acquisition financing in favor of a music publishing company. 
  • Representation of agent and lead arranger in connection with a $100 million senior secured sponsor investment financing in favor of a restaurant business.
  • Representation of private equity sponsors in numerous senior and mezzanine acquisition financings for middle market portfolio companies.
