JARRETT GROSS focuses his practice on fiduciary duty litigation, securities litigation, and M&A disputes. Jarrett has experience at all stages of trial court litigation and serves as a trusted advisor to clients in assessing and mitigating litigation risk.
Jarrett defends businesses, officers, and directors of public and private companies from stockholder claims, including breach of fiduciary duty claims, activist stockholder matters, federal securities claims, and books and records litigation. He also has extensive experience litigating contract disputes and has both prosecuted and defended claims arising from a wide range of M&A agreements, many of which have involved managing cross-border discovery of evidence and depositions.
Jarrett also regularly advises clients on optimal approaches to mitigating litigation risk in transaction structuring. He has experience as in-house counsel at a fast-growing data company and leverages that experience as well as his deep knowledge of corporate fiduciary duties and business torts to help clients assess and avoid litigation risk where doing so is practical from a business perspective.
Prior to joining Sidley, Jarrett served as a law clerk for then-Vice Chancellor Tamika Montgomery-Reeves of the Delaware Court of Chancery. Jarrett graduated summa cum laude from the University of Michigan Law School in 2016, where he was elected to the Order of the Coif. While in law school, he was an executive editor of the Michigan Law Review and earned the Emmett E. Eagan Award for excellence in the field of corporate law. Jarrett graduated magna cum laude from Georgetown University with a B.A. degree in Chinese.
