Established in 2007, Sidley's Sydney office focuses on corporate finance and other transactional matters, including U.S. and cross-border capital raisings, cross-border mergers and acquisitions, private debt and equity transactions and finance, structured finance and project finance transactions for Australian, New Zealand and U.S. companies and investment banks.
The team's corporate finance work in Sydney has encompassed U.S. initial public offerings; public offers of debt and equity securities for seasoned issuers; private placements of debt, equity and hybrid securities, including Rule 144A and Regulation S offerings and “traditional” Section 4(a)(2) debt private placements; and venture capital investments and exits. Our lawyers have also acted on a number of complex structured finance and cross-border financing transactions. In addition, we have acted for issuers in connection with reporting obligations under the U.S. securities laws and for Australian and New Zealand companies in establishing both listed and unlisted American Depositary Receipt programs.
