Biography

XI ZHAO focuses her practice on corporate and securities law matters, including mergers and acquisitions, private equity transactions, shareholder activism, and capital markets transactions.

Xi received her J.D. degree from Cornell Law School. While attending Cornell, Xi served as an editor of the International Law Journal. She also served as a research assistant for the Legal Information Institute (LII) while there. Xi received her LL.B degree from China Foreign Affairs University, where she also received a B.A. degree in English and international relations. Xi graduated at the top 5% for both of her majors.

Xi is fluent in both English and Chinese.

Experience

Representative Matters

  • Sensei Biotherapeutics, Inc. (Nasdaq: SNSE), a clinical-stage biotechnology company focused on the discovery and development of next-generation therapeutics for cancer patients, in its acquisition of Faeth Therapeutics Inc., a clinical-stage biotechnology company developing multi-node therapies targeting tumor metabolism and signaling.
  • Azimut Group, one of Europe’s largest independent asset managers, in connection with its agreement to acquire North Square Investments, LLC (NSI), a multi-boutique asset management and distribution platform. As part of the transaction, Azimut will also contribute its 51% stake in Kennedy Capital Management (KCM), which manages US$4.5 billion in assets and has an existing sub-advisory agreement with NSI, leading to the creation of an integrated platform that will be renamed Azimut NSI (pending).
  • Bonaccord Capital Partners in connection with its second strategic minority investment in Park Square Capital, one of Europe’s leading credit investment firms with more than US$19 billion in assets under management.
  • Jefferies Financial Group Inc. in connection with its investment in Hildene Holding Company, LLC, the parent of credit-focused asset manager Hildene Capital Management LLC and its affiliates, made concurrently with Hildene’s signing of a definitive agreement to acquire SILAC Inc., the parent of SILAC Insurance Company.
  • The Fortegra Group, Inc., a U.S.-based specialty insurer, in connection with its US$1.65 billion sale to DB Insurance Co., Ltd.
