
Biography
CHLOE SMITH’s main area of focus is advising on debt finance transactions with clients including private equity sponsors, corporations, investment banks, and credit funds.
Chloe has experience in leveraged finance transactions, syndicated lending, refinancings, and general banking.
Prior to joining Sidley in 2022, Chloe was a senior associate in the banking and finance practice of a Magic Circle firm.

Representative Matters
Examples of Chloe’s work include:
- The senior lenders on Xpansiv’s acquisition of Evident, the global Renewable Energy Certificates (RECs) network provider.
- Representing HeadFirst Global on its recommended offer to acquire AIM-listed Impellam Group for approx. £483.2 million.
- Acted for a large private equity sponsor on the ~€3 billion acquisition of a global provider of transportation solutions for pharmaceuticals, which was one of the largest private credit transactions in the market. Responsible for drafting and negotiating all finance documents from commitment stage to closing.
- Acted for a prominent private equity house on the £650 million acquisition of a technology-focused investment firm.
- Advised the MLAs on the £6.8 billion acquisition of a UK supermarket, which was the UK’s biggest leveraged buyout in more than a decade. Responsible for negotiating the commitment documents, drafting and negotiating the long-form documentation, and assisting with the offering memorandum.
- Assisted with high-yield bond processes including acting for the Arrangers on the US$325 million SSN for an oil field solutions company.
- Experience working on Holdco financings for both prominent private equity funds and infrastructure asset managers.
- Acted for a global private equity firm on the €365 million refinancing of one of their portfolio companies, which involved negotiating the key commercial terms and drafting the full suite of long-form documents.
