Sidley represented Hennessy Capital Investment Corp. VII (NASDAQ: HVIIU), a special purpose acquisition company (“SPAC”), in its US$190 million initial public offering (“IPO”). The SPAC was sponsored by an affiliate of Hennessy Capital Group LLC, a serial SPAC sponsor and long-time client of the firm. Hennessy Capital Investment Corp. VII sold a total of 19 million units in the IPO, including 1.5 million units sold through the partial exercise of the underwriters' over-allotment option. Hennessy Capital Investment Corp. VII has not yet identified a specific target business, but it plans to acquire a company within the industrial technology or energy transition sectors and aims to focus on businesses with enterprise values of at least US$500 million.
