DIRK ANDRINGA concentrates his practice in the areas of mergers and acquisitions, special purpose acquisition company (SPAC) transactions (including sponsor aspects), private equity (including continuation fund transactions), emerging companies and venture capital, leveraged buyouts, investments, dispositions, dividend recapitalizations, restructurings, finance, joint ventures and general corporate representation. His practice also involves international transactions, including acquisitions of multinational companies, acquisitions of foreign subsidiaries and the formation of international joint ventures.
Dirk’s private equity practice consists primarily of representing a variety of funds in connection with their investments and dispositions. Fund investments may be as the sole, majority or minority investor. The leveraged buyout transactions he works on are often financed with multiple layers of debt and equity and may include seller financing and earn out components. Dirk also works on early, middle and late-stage venture capital transactions.
In connection with purchase and sale transactions, Dirk has worked on numerous stock and asset transactions, including acquisitions and dispositions of divisions and other carve-out transactions, reverse subsidiary mergers, and s-corporation purchases with 338(h)(10) elections. These are often strategic buyer or secondary (fund to fund) transactions. Many include tax deferred or after-tax rollovers by management and other continuing investors. In connection with new platform company acquisitions, he works on the equity documents and related agreements, including corporate charter documents, limited liability company agreements, securityholder agreements, manager equity and incentive agreements and advisory services fee agreements. Dirk has also handled numerous add-on acquisitions for platform companies, as well as management employment arrangements.
Dirk’s general corporate representation involves contract, regulatory, employment, finance, and equity matters for private and public companies, including domestic subsidiaries of foreign public companies. He often serves as outside general counsel for companies and regularly interfaces with their litigation counsel. He also advises clients with respect to corporate governance and compliance matters.
In his international transactions practice, Dirk works with foreign counsel on structuring, diligence, regulatory, employment, contract, tax and intellectual property matters.
Dirk has represented businesses in a variety of industries, including distribution, infrastructure, construction, manufacturing, packaging, technology, business and professional services, food products, life sciences, wholesale and retail. He has also represented executives in connection with the negotiation of their employment, equity and incentive compensation arrangements.
