Sidley is representing Learn CW Investment Corporation (NYSE: “LCW”), a publicly traded special purpose acquisition company, in its business combination agreement to combine with Innventure LLC (“Innventure”), which founds, funds, operates, and rapidly scales companies in strategic collaboration with Multinational Corporations to commercialize breakthrough technology solutions. The transaction will result in Innventure becoming a public company. The business combination includes an enterprise valuation for Innventure of US$385 million (or up to US$435 million upon the achievement of certain milestones). Upon the closing of the transaction, the combined company will operate under the Innventure name.
