Sidley is representing Horizon Acquisition Corporation II (NYSE: HZON) in its proposed business combination with Epic Aero, Inc., which is a subscription-based private aviation company operating Flexjet and other brands in the business. Horizon is a publicly traded special purpose acquisition company sponsored by an affiliate of Sidley client Eldridge Industries, LLC, which is controlled by Todd Boehly. The transaction implies a pro forma enterprise value for Flexjet of approximately US$3.1 billion. The closing, which is subject to customary conditions, is expected to occur in 2023. The resulting public company will be named Flexjet, Inc., and it is expected to be listed on the NYSE under the ticker symbol “FXJ.”
