Sidley is representing Proven Brands, a portfolio company of Clearlake Capital Group, L.P.’s Better For You Holdings food platform, in its sale for approximately $259 million to Hain Celestial Group, Inc., an organic and natural products company with operations in North America, Europe, Asia, and the Middle East. The Proven Brands platform is behind the ParmCrisps and Thinsters brands of baked snacks. The transaction is subject to customary closing conditions and regulatory approvals and is expected to close by the end of the year. Clearlake acquired Proven Brands in 2014 and subsequently completed the successful acquisition of Kitchen Table Bakers, the makers of ParmCrisps, in 2016.
