STACY CROSNICKER is a partner in the Washington, D.C. office. She regularly advises private equity funds and private companies in the technology and life sciences sectors on all aspects of transactions related to executive compensation and employee benefits. Stacy has significant experience negotiating transaction documents, advising on equity and cash compensation treatment, implementing executive retention and equity programs, and assisting with employee integration issues. Stacy has significant experience in the corresponding tax laws governing executive compensation, including Sections 409A and 280G of the Internal Revenue Code. In addition, she routinely represents portfolio companies on all aspects of day-to-day executive compensation, equity compensation and employee benefits issues.
Stacy also routinely advises emerging technology and life sciences companies in all aspects of compensation and employee benefits. In particular, she advises on (i) equity compensation, including equity grants and company equity incentive plans, (ii) compensation and benefits issues arising in financings, strategic partnerships, acquisitions, and sales, (iii) employee retention and executive compensation incentive design and planning, and (iv) the design, drafting, implementation, and ongoing administration of qualified plans, nonqualified deferred compensation plans, and compensation programs.
