Irina Krieger

IRINA KRIEGER advises on all aspects of German business and corporate law, in particular focusing on stock corporations, capital markets law and corporate governance, as well as M&A, joint ventures, cooperations and restructurings.

Prior to joining Sidley in 2017, Irina was an associate in the M&A/corporate practice of another international law firm.

She is fluent in German, English and Russian.

In recent years, Irina has advised:

• Gilde Buy Out Partners in their sale of COMCAVE Holding GmbH to Amadeus FiRe AG.
• Sun Capital Partners on the acquisition of ESIM Chemicals GmbH. 
• Summit Partners on the financing of its acquisition of a majority stake in Elatec, one of the world’s leading suppliers of multi-standard RFID readers, from DPE Deutsche Private Equity.
• Porsche Automobil Holding SE on the acquisition of PTV Planung Transport Verkehr AG.
• Bayer Aktiengesellschaft on the disposal of their interest in Covestro AG.
• Deutsche Börse AG on the intended merger with London Stock Exchange.
• Bayer Aktiengesellschaft on the carve-out of their plastic division Bayer MaterialScience and the subsequent IPO of Covestro AG.
• HgCapital LLP on the sale of SimonsVoss to Allegion.
• Triton on the acquisition of Rexroth Pneumatics.
• Funke Mediengruppe on the joint venture of an advertising company with the media company Axel Springer, and on the acquisition of the local newspaper as well as the TV and Women’s magazine business of Axel Springer.
• Listed stock corporations on general stock corporation law and corporate governance matters.
• On preparing and implementing public takeover bids and mandatory offers.
• On capital markets law (questions on the German Securities Trading Act and the European Market Abuse Directive; questions on ad hoc publicity).
• On various M&A transactions (including private equity).
• On international restructurings of corporate groups (e.g., following M&A transactions).
• On corporate law for international clients considering German subsidiaries.
