• R-Bridge Healthcare Fund, a subsidiary fund of healthcare-focused CBC Group, on a US$40 million royalty-backed financing to Yisheng Biopharma Co., Ltd. This is the first royalty-backed financing in China's biopharmaceutical industry. The deal has been named as one of the “Deals of the Year 2022” by China Business Law Journal and shortlisted for “Deal of the Year: Loan” at the IFLR Asia-Pacific Awards 2023.
• China Minsheng Banking Corporation Limited Hong Kong Branch as the sole lender, in its US$170 million and US$400 million guaranteed and secured term loan facilities to the offshore subsidiary of United Energy Group Ltd.
• Citibank as global coordinator in relation to the US$4.65 billion loan facility to Tencent Asset Management Limited.
• Citibank and DBS as mandated lead arrangers in relation to the £162 million refinancing of two shopping centers in London acquired by a soverign wealth fund.
• China CITIC International Limited in relation to the refinancing and restructuring of more than US$1 billion of loan facilities to a major China real estate property developer.
• China CITIC International Limited in relation to the refinancing of HK$ 3.3 billion facilities made available for the acquisition of a HKSE listed company by Oceanwide Holdings International Co., Ltd.
• A syndicate of 11 banks in the US$3.2 billion financing facility for COFCO’s acquisition of Noble Group Limited’s agribusiness and the Dutch commodity trader and agribusiness company Nidera.
• Standard Chartered Bank and other syndicate lenders on the €200 million term loan facility to Zhongding (Hong Kong) Limited.
• Standard Chartered Bank and other syndicate lenders on the US$154 million term loan facility to Comtech International (Hong Kong) Limited.
• UBS AG as lead financial adviser and Standard Chartered Bank Limited as joint financial adviser to China Mengniu Dairy Company on its US$1.63 billion voluntary general offer for Hong Kong-listed Yashili International Holdings.
• ADM Capital in relation to a US$100,000,000 term loan facility for a P.R.C.-based borrower to finance its acquisition of a P.R.C.-based education business.
• The special situations team of a U.S. investment bank in relation to its secured loan facilities to a Philippines-based logistics company.
• A syndicate of lenders led by ANZ on HK$2 billion term and revolving loan facilities to AMVIG Holdings Limited for the purposes of refinancing existing indebtedness.
• A syndicate of 24 banks led by Bank of China on multiple currency term loan facilities to Zhongyu Gas.
• Korea Development Bank on US$125 million syndicated dual tranche term loan facilities to the Vietnamese subsidiary of a Korean construction company.
• China Minsheng Banking Corporation Limited, Hong Kong Branch on US$20 million dual tranche term loan facilities to an Australian subsidiary of a major P.R.C.-based mining company listed on the Hong Kong Stock Exchange.
• Various credit funds and asset management companies in relation to their margin financing for shareholders of listed companies.

Borrower

• Geely Automobile Holdings Limited, one of the leading Chinese automotive companies, as borrower in relation to a US$400 million syndicated green loan facility with The Hongkong and Shanghai Banking Corporation Limited as the global coordinator and agent for a syndicated of banks to finance and/or refinance certain eligible green projects and/or social projects.
• Canvest Environmental Protection Group Company Limited, a Hong Kong-listed company principally engaged in the development, management and operation of waste-to-energy plants, in a syndicated facility agreement participated by 15 global banks in total. The transaction involved a three-year green term facility with an aggregate amount of HK$2.891 billion and arranged by The Hongkong and Shanghai Banking Corporation Limited as mandated lead arrangers and bookrunners and agent.
• CIFI Holdings (Group) Co. Ltd in connection with its HK$2.798 billion (US$360 million) green syndicated loan facility. CIFI Holdings (Group) Co. Ltd. is principally engaged in the property development and property investment business in China. The deal was named as “Deal of the Year: Best Green Syndicated Loan” in real estate industry by The Asset’s Triple A Sustainable Capital Markets Awards 2021.
• Country Garden Holdings Company Limited as borrower on a Hong Kong dollars and United States dollars dual-trance term loan facility with an aggregate total commitment of US$280 million and with arranged by Industrial and Commercial Bank of China (Asia) Limited.
• Canvest Environmental Protection Group Company Limited in a HK$300 million term loan facility with China CITIC Bank International Limited as agent, security agent, and green structuring bank.
• A HKSE listed Chinese real estate developer in connection with a HK$355 million term loan facility for the financing of the acquisition of a British Virgin islands company.
• Canvest Environmental Protection Group Company Limited in connection with its entry into a Hong Kong law governed facility agreement in relation to a term loan facility arranged by Standard Chartered Bank.
• Country Garden Holdings Company Limited in connection with its US$453 million and HK$8.13 billion dual currency of Hong Kong-governed syndicated loan facility.
• Hopson Development Holdings Limited, one of the five largest private real estate companies in Guangdong Province, as borrower in relation to this syndicated facility, which was to refinance existing indebtedness and general working capital of the borrower group. The syndicate includes six banks and the sophisticated facility contains both a USD tranche and a HKD tranche.
• A HKSE listed Chinese real estate developer as borrower in connection with 1) HK$150 million syndicated loan facility arranged by UBS and US$200 million loan facility provided by RRJ Capital.
• Jiayuan Stangroup Development Company Limited as borrower in connection with a US$116 million loan facility provided by HSBC.
• A HKSE listed Chinese real estate as borrower in connection with a HK$210 million loan facility arranged by HSBC.

Debt restructuring

• Zhongliang Holdings Group Company Limited on the successful restructuring of its approximately US$1.2 billion of offshore debt.
• Sunac China Holdings Limited in the restructuring of its US$10.2 billion offshore debt. The complex transaction was implemented through a scheme of arrangement in Hong Kong, which was sanctioned on October 5, 2023, and parallel Chapter 15 recognition proceedings in the U.S. District Court for the Southern District of New York. The restructuring became effective on November 20, 2023, and is a landmark deal. It is the largest offshore restructuring transaction completed by a Chinese property group and it achieved both the highest supporting rate and the highest deleveraging ratio of recent offshore schemes in this sector. The deal has been named as “Restructuring Deal of the Year” by IFLR Asia-Pacific Awards 2024, and also won the “Asia-Pacific Restructuring” award at International Financing Review’s IFR Awards 2023 and the “Turnaround Deal” award at the IFR Asia Awards 2023.
• Certain major Hong Kong-listed real estate issuers, including Sino-Ocean Group Holding Limited, Country Garden Holdings Company Limited, Zhongliang Holdings Group Company Limited, China Evergrande Group, Logan Group Company Limited, Times China Holdings Limited, KWG Group Holdings Limited, Guangzhou R&F Properties Co., Fantasia Holdings Group Co., Limited, Zhenro Properties Group Limited, and Shimao Group Holdings Ltd., on offshore debt restructuring transactions.
