OLIVIA NGAN’s practice focuses on cross-border finance transactions.
Olivia advises lenders and borrowers, including bond issuers, corporate borrowers, financial institutions, credit funds, and asset managers on a wide range of financing transactions (including pre-IPO, structured, acquisition, real estate, fund and equity margin financings, and general corporate lending), with a particular focus on mainland China-related transactions.
Apart from loan financing transactions, Olivia also works closely with other Sidley lawyers on debt capital market, non-contentious restructuring, and regulatory and compliance matters.
Olivia has advised on some high-profile, innovative, and award-winning financing transactions, such as recently acting for CBC Group as a lender on the first royalty-backed financing in China’s biopharmaceutical industry, a subsidiary of Shimao Group Holdings Ltd. on the refinancing of the Tai Wo Ping project and Sunac China Holdings Limited in the restructuring of its US$10.2 billion offshore debt.
Olivia has been recognized as a leading individual in Banking & Finance: Hong Kong-based (International Firms) by Chambers Greater China Region 2023 and 2024. Prior to re-joining Sidley, Olivia was counsel in the Hong Kong office of a Magic Circle firm. Earlier in her career, she practiced at a number of other leading international law firms in London.
Olivia is qualified as a solicitor in England and Wales and Hong Kong. Olivia is also qualified as a certified practicing accountant (CPA) with CPA Australia, having worked at one of the “Big Five” accounting firms.
