• Represented the dealers and initial purchasers in connection with Kaisa Group Holdings Ltd.’s exchange offer and concurrent new money issuance.
• Represented the initial purchasers in connection with the offering of US$300 million 8.125% Senior Notes due 2019 by Xinyuan Real Estate Limited.

• Represented The Carlyle Group and BC Partners in connection with their US$3.5 billion acquisition of United Technologies Corp.’s pump business.
• Represented A123 Systems, Inc., a developer and manufacturer of advanced lithium batteries and systems, in its bankruptcy restructuring and US$256.6 million asset sale to Wanxiang Group, China’s largest auto-parts manufacturer.
• Represented Foster Wheeler AG, a global engineering conglomerate, in its acquisition of 49% equity interests in a Hebei-based petrochemical design institute from a Chinese state-owned company.
• Represented Tessera Technologies, a California-based technology company, in its US$23 million acquisition of the camera module business of Flextronics International Limited.
• Represented Kailai Investments, a China-based private equity firm, in connection with its sale of equity interests in Qinhe Energy Co., Ltd., a Shanxi-based coal mining company.
• Represented K12 Inc., a leading provider of proprietary curriculum and online school programs for students in kindergarten through high school in the U.S., in connection with its strategic investment in Web International English, a leading English education provider in China.
