Sidley represented Grain & Protein Technologies, a portfolio company of American Industrial Partners (AIP), in the carve-out acquisition of the agribusiness equipment operations (FoodTech Equipment) of Munters FoodTech. Munters FoodTech is one of three business areas of Sweden-based Munters AB, a global leader in climate control solutions. FoodTech Equipment specializes in critical air quality, movement, and temperature control solutions in the poultry and swine markets, including fans, ventilation systems, cooling systems, and heaters within livestock farming and greenhouse end-markets. The transaction is expected to close in Q2 2025, subject to customary closing conditions.
In 2024, Sidley represented AIP in the US$700 million acquisition of Grain & Protein Technologies, a leading manufacturer of equipment solutions for grain, seed, poultry, egg, and swine production, with 14 manufacturing facilities across North America, Brazil, Europe, and Malaysia. As agribusinesses look to maximize quality, yields, and value of their products, FoodTech Equipment complements Grain & Protein Technologies' innovative technical solutions.
The Sidley team is led by Adam Runcorn and Justin Macke (M&A and Private Equity), and includes Andrew Cebula, Sarah Kang, Andrew Lecky, and Joseph Rametta (M&A and Private Equity); along with Chris Brause, Jason Menzies, Eric Grosshandler, Ellie Verran, Tyler Combest, and Fraser Tudor (Tax).
