On August 23, 2023, partner Stephanie Chan and senior associate Adrian Tang in Hong Kong delivered an engaging webinar on the “Practical overview of the SFC’s and the HKEX’s latest enforcement approach to disclosure failures” to more than 110 members of the Association of Corporate Counsel (ACC) Hong Kong. Erika Evasdottir, a member of ACC’s Board of Directors, kindly moderated the webinar.
The event brought together in-house counsel, compliance professionals, directors, and senior management to better understand the practical challenges faced by Hong Kong listed issuers and their directors when seeking to achieve compliance with their disclosure obligations under the Securities and Futures Ordinance and the Hong Kong Listing Rules. The strong turnout for the webinar is testament to the significant interest across all business sectors in the latest developments and trends in the regulatory landscape, in particular, on the issues surrounding disclosure requirements, which are becoming more pervasive and increasingly challenging to navigate.
Stephanie and Adrian shared their insights and practical tips on various topical issues, including recent enforcement cases demonstrating the regulators’ latest approach to disclosure failures; how to properly handle regulatory investigations commenced by the Securities and Futures Commission and the Hong Kong Stock Exchange; some key concepts and approaches for protecting a party’s interests in an investigation; practical considerations when seeking to mitigate potential sanctions; and key reminders for directors in ensuring that they properly discharge their duties and obligations.
