CAROL WHITESIDES is counsel in the Investment Funds group in the firm’s New York office. Carol focuses on representing registered investment companies and private funds, as well as their investment advisers and independent directors/trustees. Carol advises on the launch and ongoing operations of funds, and has extensive experience preparing registration statements/offering memorandums and organizational documentation, and advising with respect to fund reorganizations, rights offerings, exemptive applications, proxy statements, SEC examinations, and compliance matters. She has also represented a program manager of a 529 college savings program, and represents issuers of structured derivative products and structured notes. In addition, Carol consults on Investment Company Act status questions, particularly in connection with securities issuances and bank financings. She has a broad general corporate law background, including banking, public and private securities offerings and private equity mergers and acquisitions.
