Biography

MIRIAM SILVESTRI is an antitrust lawyer who focuses her practice on counseling clients regarding mergers, acquisitions, joint ventures, government investigations and litigation, and issues involving pricing and distribution policies, licensing, and information exchanges. She has experience preparing competition filings under the Hart-Scott-Rodino Act and working with the Federal Trade Commission and Department of Justice. Miriam represents clients across a wide range of industries, including software and technology, medical devices, pharmaceuticals, healthcare providers, retail, insurance, and manufacturing.

Prior to joining Sidley, Miriam was an associate at an international law firm where she focused on litigation and dispute resolution before the Federal Trade Commission. She also spent some time at the U.S. Attorney’s Office in Washington, D.C. in the Fraud and Public Corruption Section and at the Federal Trade Commission’s Bureau of Competition.

Miriam regularly contributes to the firm’s monthly Antitrust Bulletin.

Representative Matters

Representative matters in which Miriam provided antitrust advice include:

  • Lumen Technologies as antitrust counsel in connection with its US$5.75 billion sale of its mass markets fiber-to-the-home business in 11 states to AT&T.
  • Exiger in connection with a majority investment by funds managed by global investment firm Carlyle and global software investor Insight Partners.
  • Steward Health Care System LLC in its sale of five hospitals, numerous ancillary facilities, and related hospital operations in Utah to CommonSpirit Health.
  • Roche in its US$2.7 billion acquisition of Carmot Therapeutics Inc.
  • Arthur J. Gallagher & Co., a global insurance brokerage, risk management and consulting services firm, in its US$660 million acquisition of the partnership interests of Buck.
  • ShoreView Industries and its portfolio company Avidity Science in the sale of Avidity Science to ATS Corporation.
  • Allkem Limited, a lithium producer, in its merger of equals with Livent Corporation, a transaction valued at US$10.6 billion.
  • Stryker Corporation, a global leader in medical technologies, in multiple acquisitions.
  • Pandora Media, Inc. in its sale to Sirius XM Holdings for US$3.5 billion, which combined the world’s leading satellite radio company with the leading U.S. internet radio company, and in its sale of the membership interest of Ticketfly, LLC to Eventbrite, Inc.
  • Cabela’s Inc. in its sale to Bass Pro Shops for an aggregate value of US$5.5 billion.
