PAYOM PIRAHESH focuses his practice around private equity funds and other sophisticated buyers. He has significant experience advising private equity funds and their portfolio companies in acquisitions, divestitures and day-to-day legal matters. Payom maintains a “life cycle” practice with respect to the portfolio companies of his private equity clients and guides these portfolio companies through the negotiation and implementation of typical private equity-style employment arrangements, management incentive plans, sale bonus plans and commercial contracts. He also advises private equity funds on establishing limited partner co-investment programs. On the sell side, Payom routinely advises target companies, including founder-owned businesses, in sales to sophisticated buyers especially in more complicated transactions often involving seller rollovers, the use of representations and warranties insurance, restrictive covenant agreements and earn outs.
Payom handles a wide range of transactions including LBOs, auction processes, carve-outs, joint ventures, co-investments, minority investments and dividend recapitalizations. He additionally advises on corporate governance matters.
Earlier in his career, Payom was seconded to the private equity legal group of a global New York-based alternative asset manager.
