James O'Connor

JIM O’CONNOR represents both issuers and underwriters in a wide variety of corporate and securities matters and capital markets transactions. His experience includes public and private offerings of all types, including IPOs, secondary, follow-on and ATM program common equity transactions, preferred stock offerings and secured and unsecured debt transactions (registered and 144A), including retail and institutional medium-term note programs. In addition to securities transactions, his practice includes consultation with clients regarding corporate governance matters and public company reporting obligations.

Jim regularly represents clients in capital markets transactions involving companies in a broad range of industries, including real estate/REITs, financial institutions and finance companies, energy, utility and power generation companies, transportation companies, auto manufacturers, and industrial companies. Those transactions have included several IPOs and debt and equity offerings by numerous issuers including cross-border transactions and offerings of securities denominated in several foreign currencies. Jim’s experience representing both issuers and underwriters in a wide variety of industries and transactions allows him to provide a comprehensive perspective on the offering process to clients.
