GREGORY MATISOFF is a senior managing associate in Sidley’s Washington, D.C. office and a member of the Employee Benefits and Executive Compensation group. Greg’s practice focuses on advising clients regarding all types of employee benefits and executive compensation matters that arise in the context of mergers, acquisitions, divestitures, and other corporate transactions. Greg also counsels clients on:
- the implementation and administration of executive employment, retention, severance, deferred compensation, and change in control arrangements;
- the implementation and administration of stock and other equity compensation programs (including stock options, restricted stock, restricted stock units, performance awards, phantom stock, and profits interests); and
- the compliance of executive compensation arrangements with the tax provisions in Sections 280G, 409A, 83, and 457 of the Internal Revenue Code.
In addition, Greg has substantial experience advising clients in connection with the design and administration of tax-qualified retirement plans, including 401(k), 403(b), and pension plans, and he has represented clients in matters before the Internal Revenue Service, Department of Labor, and Pension Benefit Guaranty Corporation.
Greg holds a LL.M., with distinction, from Georgetown University, a J.D. from American University, Washington College of Law, and a B.A. from Williams College. He has been named to The Best Lawyers in America’s “Ones to Watch” list for his work in employee benefits law (2022).
Prior to joining the firm, Greg was an Associate at a national Am Law 100 law firm based in Washington, D.C. He was also an attorney in the Office of General Counsel of the Pension Benefit Guaranty Corporation.
