ROBERT MANDELL practices in the Capital Markets group in the firm’s New York office.
Robert’s practice focuses on capital markets. He has represented underwriters and issuers in SEC-registered and private offerings of debt, equity, equity linked and hybrid securities, including in connection with domestic and cross-border issues. He also advises in the development of new financial instruments and related offerings. Robert regularly counsels financial institutions and hedge funds in connection with the structuring, acquisition and holding of equity and equity linked positions.
Robert has been recognized by the IFLR1000 as a “Leading Lawyer” in Debt Capital Markets and Equity Capital Markets in the United States. He also been recognized as a “Leading Lawyer” by the U.S. Legal 500. In addition, Robert has been recognized in Who’s Who Legal: Capital Markets.
Robert joined the Firm in 1997 and became a partner in 2003. He received a J.D. degree from Fordham Law School in 1994 and an undergraduate degree from New York University-Stern School of Business in 1989. Prior to joining the firm in 1997, Robert worked at the U.S. Securities and Exchange Commission in the Division of Corporation Finance.

- Counsel to an ad hoc group of holders of Senior Notes due 2025 (the 2025 Unsecured Notes) of Finance of America Companies Inc. (FOA), in connection with a comprehensive support agreement, exchange offer, and consent solicitation by FOA. The ad hoc group consisted of Brigade Capital Management, Anchorage Capital Advisors, and Beach Point Capital Management.
- Counsel to the underwriters in connection with the issuance by Whitebox Advisors of $81.5 million of Convertible Senior Notes
- Counsel to the issuer in connection with the issuance by Porch Group, Inc. of a $425 million convertible financing and related capped call transaction
- Counsel to the underwriters in connection with the issuance by Sempra Energy of $2.0 billion of Mandatory Convertible Preferred Stock
- Counsel to the issuer in connection with the issuance by Starwood Property Trust, Inc. of over $1 billion principal amount of Convertible Senior Notes
- Counsel to the underwriters in connection with the issuance by Weyerhaueser Company of 13.8 million Mandatory Convertible Preference Shares
- Counsel to the issuer in connection with the issuance by Colony Starwood Homes of $650 million of Convertible Senior Notes
