CINDY LOVERING focuses her practice on representing lenders and agents on fund finance transactions, including syndicated and bilateral subscription line facilities, hybrid and net asset value credit facilities, management company and GP loans, umbrella facilities, and investor level financings. She also regularly advises lenders and borrowers on growth stage life science and technology financings and middle-market financings. Cindy has extensive experience advising on complex deal structures, cross-border transactions, and investor documentation issues, and is one of few attorneys in the fund finance industry with experience successfully enforcing a lender’s right to call capital and receive capital contributions under a subscription line facility.
Cindy represents banks and private credit lenders on deals of all sizes, including small bridge loans to emerging companies, ten to multi-hundred million dollar single and co-lender loans to tech and life sciences companies, and billion dollar syndicated subscription facilities to PE funds. Clients appreciate Cindy’s ability to calibrate her approach in accordance with the specific market and circumstances of the parties involved. She advises clients with a deep understanding of their commercial objectives and works collaboratively with all parties in a transaction to achieve common goals.
Cindy has been recognized as a “Leader of Influence in Law” by the San Diego Business Journal (2024).
