MATTHEW KUTNER has extensive experience representing registered investment funds and their board members. His practice is focused on representing registered investment funds in regulatory, transactional, and compliance matters, and he regularly advises clients on the establishment, registration, and operation of registered open-end and closed-end funds, including the development and offering of new funds, as well as providing advice regarding investment activities, sub-advisory arrangements, and other service provider relationships, exemptive relief, compliance programs, and governance matters.
In addition to day-to-day counseling, Matt has led complex transactions, such as fund reorganizations, and regularly counsels clients on new regulations and developments. Matt also counsels clients in connection with examinations by regulatory agencies, such as the U.S. Securities and Exchange Commission.
Matt is part of Sidley’s Investment Funds practice, which has won numerous top awards as a provider of legal services to the investment funds industry: Sidley is ranked Band 3 for Registered Funds by Chambers USA and Chambers Global for 2024. The group also holds Chambers rankings in five other investment funds–related categories.
Prior to joining Sidley, Matt practiced at other global law firms, during which time he was recognized by Fund Action and Fund Directions as a “Rising Star” in the Mutual Funds category.
Matt earned his LL.M. from Columbia Law School, where he was a Harlan Fiske Stone Scholar. He earned his J.D. from Hofstra Law School, cum laude, where he was a research editor on the Hofstra Law Review, and his B.B.A. from George Washington University, cum laude, where he studied international business.
