MATTHEW KATZ represents domestic and international financial institutions, fintech companies, money transmitters, and investors in and counterparties to such entities in a variety of regulatory, transactional, and public policy matters. Matt advises on a range of federal and state bank regulatory issues, including compliance and licensing matters, as well as the regulatory aspects of mergers, acquisitions, minority investments, and other transactions. His experience includes counselling on investment authority and regulatory structure questions, fintech investments, the Volcker Rule, prudential regulation of banking organizations, U.S. operations of foreign banking organizations, and preparation of applications and other submissions to federal and state bank regulatory agencies. Matt also regularly advises clients regarding payments, money transmission, and cryptocurrency issues, including both routine compliance and regulatory aspects of various types of transactions.

Representative banking and fintech matters include:
- Providing regular advice to bank holding companies and savings and loan holding companies with respect to compliance with the Bank Holding Company Act, Home Owners’ Loan Act, International Banking Act, and related regulations.
- Advising banks and their affiliates on both minority and controlling investments in fintech and other early-stage companies.
- Providing strategic advice to non-U.S. banking organizations on regulatory structure and licensing in the U.S., including advising on the powers available to various types of foreign bank offices in the U.S., as well as to nonbank affiliates in the U.S.
- Representing private equity funds, hedge funds, and asset management firms with respect to investments by or in banks and their holding companies.
- Assisting investors and acquirers in their diligence of money services and cryptocurrency businesses and obtaining regulatory approvals for the acquisition of state-licensed money services and cryptocurrency businesses on a nation-wide basis.
