DIANA GONG’s practice focuses on commercial transactions, regulatory and compliance matters in the life sciences industry. She represents multinational pharmaceutical companies and their Chinese subsidiaries as well as Chinese biotechnology companies on matters in connection with their M&A transactions, licensing transactions, clinical trials, manufacturing, marketing authorization approval, importation/exportation, distribution, and promotional/advertising activities.
Prior to joining Sidley, Diana was an associate with another international law firm in its Silicon Valley office, representing private equity sponsors and venture capital investors in their asset management.
Diana received her J.D. from the University of Southern California in 2020 and her LL.M. from the University of California, Berkeley in 2015. She also earned an LL.B. from Peking University in 2014.
Diana is a native Chinese speaker and is fluent in English.

- Represented Baozun Inc. in its acquisition of Gap Greater China in an all-cash transaction and the conclusion of a series of business agreements for Gap brand’s management and operation through which Gap granted Baozun the right to manufacture, market, distribute and sell Gap products in Greater China with local creation capabilities on an exclusive basis;
- Representing multinational pharmaceutical companies in their acquisitions and strategic collaborations in China;
- Advising multinational and Chinese pharmaceutical companies in connection with product approvals, clinical studies, marketing, promotion and distribution, market access, pricing and reimbursements in China;
- Representing emerging companies in their preferred stock financings.
