Sidley’s market-leading Singapore investment funds team is advising EQT on the US$7.5 billion agreement to acquire Baring Private Equity Asia (BPEA), a leading private markets investment firm in Asia with US$19.5 billion of assets under management. EQT’s combination with BPEA is a transformative transaction and provides a step change to EQT’s presence in Asia, ideally positioning EQT to execute on the structural growth opportunity in Asian private markets. Subject to regulatory approval, the deal is expected to be complete in the fourth quarter of 2022.

Sidley is acting as Singapore counsel to EQT for the landmark transaction, including regulatory due diligence, completion, and full coverage of change-in-control approval requirements for the acquisition of BPEA, as well as leading key negotiations with the Monetary Authority of Singapore toward final approvals for the matter.
