FTC Releases 2023 Thresholds for Hart-Scott-Rodino Filings and Interlocking Directorates, Raises Maximum Daily HSR Penalty

The U.S. Federal Trade Commission (FTC) approved new premerger notification thresholds under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR). The statute requires the FTC to revise the thresholds annually based on changes in gross national product. The revised thresholds apply to transactions that close on or after February 27, 2023. The minimum “size-of-transaction” threshold for an acquisition of voting securities, noncorporate interests, or assets not exempt from HSR notification requirements will increase from $101 million to $111.4 million.
